Terms of Service

1. Agreement to these terms
These Terms of Service (“Terms”) are a binding agreement between you (“you”, “merchant”) and eComPRO (“we”, “us”, the “platform”). They govern your access to and use of the eComPRO website, dashboard, storefronts, and related services (the “Service”).
By creating an account or using the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the Service.
2. What eComPRO provides
eComPRO is a software platform that lets merchants build an online store, take cash-on-delivery (COD) and other orders, confirm and manage those orders, connect shipping carriers, and run their business. eComPRO provides the tools only.
eComPRO is not the seller of your products, is not a party to the sale between you and your customers, does not take possession of goods, does not collect cash on delivery, and does not deliver orders. You are solely responsible for what you sell and for fulfilling your orders.
3. Your account
You must be at least 18 years old and able to enter into a contract to use the Service. You agree to provide accurate, complete information and to keep it up to date.
You are responsible for keeping your login credentials secure and for all activity that happens under your account, including the actions of any team members you invite. Tell us immediately if you suspect unauthorised use of your account.
4. Your responsibilities as a merchant
You are the seller of record for everything sold through your store. You are responsible for:
- the legality, safety, quality, and accurate description of your products;
- your prices, offers, taxes, invoices, and any duties;
- serving your customers, answering them, and handling complaints;
- fulfilling, shipping, and (for COD) collecting payment for your orders;
- complying with all laws that apply to your business and your customers' location.
You must not use the Service for anything prohibited by our Acceptable Use Policy.
5. Cash on delivery and fulfilment
For COD orders, eComPRO helps you capture the order and hand it off to a shipping carrier. The sale itself is strictly between you and your customer.
eComPRO does not collect, hold, or remit COD cash, does not guarantee delivery, and is not responsible for lost, delayed, returned, or undelivered orders, or for any cash handled by you or your carrier. Delivery, returns, and the collection of COD payments are arranged between you, your carrier, and your customer.
6. Fees and billing
You can use the Service on a pay-as-you-sell basis (a fee of 0.25% of each delivered order) or by subscribing to a plan with a fixed monthly or yearly price. Plan limits and features are shown on our pricing page.
Fees are stated in US dollars (USD) and are charged through our payment processor and/or your account wallet. By choosing a paid option you authorise us to charge the applicable fees. Subscription fees are billed in advance for each period. If a payment fails or fees are unpaid, we may suspend or limit your access until the balance is settled.
7. Third-party services
The Service connects to third-party providers, such as payment processing (Stripe), shipping carriers, marketing pixels (for example Meta and TikTok), and custom-domain and infrastructure providers. Your use of those services may be subject to their own terms and privacy policies.
eComPRO is not responsible for the acts, omissions, availability, or content of third parties. We may add, change, or remove integrations over time.
8. Acceptable use
You agree to use the Service only for lawful purposes and in line with our Acceptable Use Policy, which forms part of these Terms. We may investigate suspected violations and take action, including removing content, suspending features, or terminating accounts.
9. Intellectual property
eComPRO and its software, design, and trademarks belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service while these Terms are in effect.
You keep ownership of the content you upload (such as your products, images, and store text). You grant us a worldwide, royalty-free licence to host, store, display, and transmit that content solely to operate and provide the Service to you.
10. Data and privacy
Our Privacy Policy explains how we handle personal data. For the personal data of your own customers that you collect through your store, you are the data controller and eComPRO acts as your data processor, handling it on your behalf to provide the Service.
You are responsible for having a lawful basis to collect and use your customers' data and for giving them any notices required by law.
11. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service unlawfully, or where required by law.
On termination, your right to use the Service ends. We may provide a reasonable period to export your data, after which we may delete it in line with our Privacy Policy and applicable law.
12. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will produce any particular sales or business result.
You use the Service at your own risk and remain responsible for your business decisions.
13. Limitation of liability
To the maximum extent permitted by law, eComPRO will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
Our total liability arising out of or relating to the Service will not exceed the total fees you paid to us in the three (3) months before the event giving rise to the claim.
14. Indemnification
You agree to defend, indemnify, and hold harmless eComPRO and its team from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your products, your customers, your content, your use of the Service, or your breach of these Terms or of any law.
15. Changes, governing law, and contact
We may update the Service and these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Continuing to use the Service after changes take effect means you accept the updated Terms.
These Terms are governed by the laws of Tunisia, without regard to conflict-of-law rules, and disputes will be subject to the competent courts of Tunisia, unless mandatory local law provides otherwise. Questions about these Terms can be sent to support@ecompro.shop.
